What We Do 

We act as “in-house” counsel for business clients without legal staff, and supplement in-house capabilities for clients with law departments. Our education and experience allows us to make substantial contributions to the successful operation of client businesses. 

We review specific problems raised by clients, but also attempt to anticipate issues so alternative approaches and courses of action can be considered to optimize compatibility with business objectives. Our objective is to avoid or facilitate the resolution of problems.

Our litigation experience provides additional insight into the negotiation and preparation of contracts with a view toward anticipating and averting potential disputes, as well as, resolution of those issues when they arise.

Educating clients about the many options the possess in the establishment of their business entity so they may select the type of entity that is best structured for their unique legal and tax situations.

Preparing or reviewing contractual agreements, whether discrete and unique matters or a form for repetitive transactions, to place our clients on, at least, equal footing with the other party.

Drafting transactional paperwork for clients involved in a specific transaction, such as the sale of a business’ assets or an owner’s ownership interest, as well as, ancillary documents needed to close the deal.

Review business documents and counsel clients on any additional documentation or necessary revisions to the existing documentation which may be needed to update the entity’s records.

Provide general counseling and advice to clients on specific employee matters, typically involving background checks, discipline, evaluation and/or severance under reasonably amicable terms.

Counsel clients on insurance and other risk management strategies to maintain the continuity of the business operations following undesired or unexpected events.
